DUTT Merchant Agreement

This Agreement applies when a merchant connects WooCommerce, Shopify, a custom website, or another merchant system to DUTT and requests delivery services.

1. Parties and acceptance

The service provider is DUTT, as identified in the merchant onboarding record and the invoices issued for the service. The merchant is the business identified by its DUTT Merchant Key and billing profile. The person accepting this Agreement confirms that they are authorised to bind the merchant.

2. Service

DUTT provides delivery quotation, dispatch, tracking, support, return, cancellation and settlement functionality. Availability, estimated times and driver assignment are not guaranteed until the relevant request is accepted and may be affected by demand, safety, traffic, weather or service-area restrictions.

3. Merchant responsibilities

The merchant must provide accurate pickup, recipient, package, tax and contact information; prepare lawful and safely packaged goods; comply with product restrictions; and keep its Merchant Key confidential. The merchant must not submit prohibited goods, false orders or data it has no lawful basis to process.

4. Supported market

The integration covered by this version is limited to deliveries in Greece and to amounts denominated in euro (EUR). DUTT may reject a quote or delivery request when the store, destination or currency is outside those limits.

5. Customer checkout and tax ownership

For merchant-platform orders, the merchant platform remains responsible for the customer checkout, the sale of goods, the delivery charge shown to the customer and the corresponding customer tax document. DUTT invoices the merchant for the full value of completed or otherwise billable DUTT delivery services under the agreed billing model.

6. Fees, invoicing and payment

Applicable fees are the quote or pricing policy returned by DUTT and recorded with the order. DUTT may aggregate billable deliveries into a monthly invoice and provide a payment link. An invoice is treated as paid only after verified payment confirmation. Corrections after invoicing are handled with a linked credit document where required.

7. Cash on delivery

Cash on delivery is not available for merchant-plugin orders under this version. It may only be enabled through a separately documented collection and remittance flow.

8. Cancellation and returns

A cancellation before a delivery becomes billable removes it from merchant invoicing. A cancellation, return or correction after work has begun may be charged according to the recorded stage and applicable policy. Duplicate requests are handled idempotently where supported.

9. Security and access

The merchant must restrict administrative access, install trusted plugin releases and rotate or revoke a Merchant Key if compromise is suspected. DUTT may suspend an integration to protect users, systems, payments or legal compliance.

10. Personal data

The Privacy and Data Processing Addendum for this version is incorporated into this Agreement. The merchant must provide required notices and ensure that customer and recipient data is submitted lawfully.

11. Records and audit

DUTT may retain order, acceptance, security, settlement and invoicing records required to operate the service, resolve disputes, prevent fraud and meet legal obligations. Each party must keep the accounting records for which it is responsible.

12. Suspension and termination

Either party may stop future use of the integration. DUTT may suspend new requests for security incidents, unlawful use, overdue amounts or material breach. Existing payment, tax, confidentiality and data-protection obligations survive termination where their nature requires it.

13. Liability

Each party is responsible for losses caused by its own unlawful conduct, breach, negligence or incorrect data. Nothing excludes liability that cannot lawfully be excluded. Indirect losses are excluded to the extent permitted by law.

14. Changes

A material new version requires fresh explicit acceptance in the merchant integration. Acceptance of one version does not automatically accept a later version.

15. Law and contact

This Agreement is governed by Greek law. Questions may be sent to info@dutt.gr. The parties should first try to resolve disputes in good faith before using the competent Greek courts.
